California remains one of the largest markets for entrepreneurs in the United States. From technology and professional services to retail, construction, and online businesses, the state offers access to a large customer base. But starting a business in California also means understanding the state’s registration, tax, and compliance requirements before you begin operating.

For many small-business owners, an LLC is a practical structure because it can separate the business from its owners while offering flexible federal tax treatment.

Choose a Business Structure

Before registering, decide which legal structure fits your business. A sole proprietorship may work for a very small operation, while an LLC can provide liability protection and a more formal business structure. Corporations may be more suitable for businesses planning to raise outside investment or issue shares.

If you choose an LLC, you will need to select a business name that meets California’s requirements and is distinguishable from existing entities registered with the state.

File Your California LLC

A domestic LLC is formed by filing Articles of Organization with the California Secretary of State. The filing establishes the LLC as a legal business entity under California law.

Entrepreneurs should provide accurate information when completing the formation documents, including the LLC’s name and management structure. Depending on the business, you may also need to designate an appropriate agent for service of process.

For people who want help understanding the process, California LLC formation can be a useful starting point for reviewing the steps involved in establishing an LLC in the state.

Understand California’s $800 Annual Tax

One of the biggest differences between California and many other states is its annual LLC tax. For 2026, an LLC that is doing business in California, or has its Articles of Organization accepted by the Secretary of State, is generally subject to an $800 annual tax. The California Franchise Tax Board states that the tax continues for each taxable year until the appropriate cancellation documents are filed.

The tax is separate from other potential state fees. LLC owners should therefore include it when calculating the ongoing cost of operating their business.

Additional LLC Fees Can Apply

California LLCs with $250,000 or more in total California income may also owe an annual LLC fee. For 2026, the fee ranges from $900 for income between $250,000 and $499,999 to $11,790 for income of $5 million or more.

This makes it important to look beyond the initial formation cost. A business that grows significantly can have different state tax obligations than a newly established company with limited revenue.

Keep Up With Ongoing Compliance

Forming an LLC is only the beginning. Business owners should keep their company information current, meet required filing deadlines, maintain appropriate business records, and separate business finances from personal finances.

California LLCs that meet the applicable requirements must also file Form 568 with the Franchise Tax Board. The form is used to report the LLC’s income and applicable tax and fee obligations.

You should also check whether your business requires local permits, professional licenses, or registrations based on its location and industry.

Plan Before You Register

Starting a business in California involves more than submitting an LLC filing. The right structure, business name, tax obligations, registered agent arrangements, and ongoing compliance requirements should all be considered before launching.

For entrepreneurs planning to establish an LLC in 2026, understanding these requirements early can make the registration process easier and help avoid unexpected costs later. California offers a large market for businesses, but successful formation starts with knowing exactly what the state expects from your company.
